NOTHING IN THIS SECTION LIMITS ANY OBLIGATION WE OWE TO AN EXISTING CLIENT UNDER A SIGNED ENGAGEMENT AGREEMENT OR UNDER THE APPLICABLE RULES OF PROFESSIONAL CONDUCT.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL DE SANTIS LAW CENTER OR ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES. OUR TOTAL CUMULATIVE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. THIS SECTION APPLIES TO YOUR USE OF THIS WEBSITE AND DOES NOT LIMIT ANY LIABILITY ARISING FROM AN ATTORNEY-CLIENT RELATIONSHIP FORMED UNDER A SIGNED ENGAGEMENT AGREEMENT.

15. Indemnification

You agree to indemnify, defend, and hold harmless De Santis Law Center and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms or any law or third-party right.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction and venue there.

Nothing in this Section affects any dispute between the Firm and a client arising out of legal representation. Those disputes are governed by the signed engagement agreement and by applicable California law, including a client's right to elect fee arbitration under the State Bar of California's Mandatory Fee Arbitration program.

17. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will continue to apply.

18. Miscellaneous

Entire Agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Services.
Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.
No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Assignment. You may not assign these Terms without our consent; we may assign them freely.
Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
Headings. Section headings are for convenience only and have no legal effect.
